It is mostly about who retains the copyright for your work. This
depends on your copyright assignment relationship with your employer
and/or where in the world you are. For example, if you're paid salary
and you work on a company project outside of office hours, do they
still retain copyright for your code? What if you're working on
something related to your work, but not something you've been asked to
do? It can be hard to draw a clear line, so in the past I've asked
employers to let me retain copyright for the work I've done for open
source licensed projects, so that I can handle licensing myself.

Once you figure all that out (or don't), if you're contributing any
code that you hold the copyright to instead of your company, you do
need to complete a CLA.
